1) Summary
These Terms of Use (the “Terms“) govern access to and use of the BSP platform, website, content, templates, and generated deliverables (collectively, the “Service“). By creating an account, purchasing, or using the Service, you agree to these Terms.
2) Key Definitions
Brand: a single legal entity, trade name, or distinct product/service line for which the playbook is generated.
Deliverables: the generated brand strategy outputs, including Google Slides/Docs and exported files, customized based on your inputs.
Templates: BSP’s proprietary slide masters, layouts, prompts, JSON flows, designs, and automation logic used to generate Deliverables.
License: the limited rights granted to you to access and use the Service and Deliverables under these Terms.
3) Your License
3.1 SingleBrand License (default plan)
One paid license allows you to generate a playbook for one (1) Brand only.
Within the 30 calendar days following purchase (“License Term”), you may make unlimited edits/regenerations for that same Brand. However, if we determine in our sole discretion that the Service is being abused or used in ways that exceed fair use, we reserve the right to suspend or revoke access without refund.
Generating deliverables for additional Brands requires purchasing additional licenses. Creating multiple Brands, client projects, or variations to circumvent this rule is prohibited.
3.2 Agency Use (if purchased)
Agencies may purchase multiseat or Agency Plan licenses. Unless otherwise agreed in writing, each seat corresponds to one Brand per 30day term.
Agencies may generate Deliverables for end clients pursuant to these Terms, but may not resell or sublicense the Templates, automation, or platform access.
Unless separately agreed, no whitelabel rights are granted; BSP branding and attributions must remain intact on platform surfaces.
3.3 Ownership & IP
You own your Deliverables (the generated content reflecting your inputs), including rights to use them for your own business promotion and operations.
We own the Templates and the Service, including all slide masters, designs, code, automation, prompts, and knowhow used to create Deliverables. You receive no rights to copy, extract, resell, or create derivative works of the Templates or the Service.
4) Acceptable Use & Prohibited Conduct
You agree not to:
Share, resell, rent, or transfer your account, tokens, or access to any third party (including “service bureau” use) except under an Agency Plan expressly permitting client work.
Generate Deliverables for any Brand other than the one(s) covered by your active license(s).
Copy, export, scrape, or reverse engineer the Templates, master slides, code, prompts, JSON flows, or underlying automation and document generation systems.
Use automated means (bots, scripts) to massgenerate or to bypass rate limits or usage controls.
Infringe intellectual property or violate laws; upload unlawful content; attempt to disrupt or degrade the Service.
We may throttle, suspend, or terminate accounts that breach this section or that exhibit abnormal usage patterns that materially degrade the Service for others. We’ll use reasonable judgment and, where feasible, provide notice.
5) Fair Use & Rate Limiting
To preserve service quality, we implement technical and administrative safeguards (e.g., rate limits, concurrency caps, anomaly detection). Excessive or abusive use may trigger temporary throttling or suspension. We reserve the right to adjust limits at our discretion.
6) Payments, Refunds & Chargebacks
Payments are handled by our payment processor (e.g., Stripe). Taxes may apply based on your location.
14Day MoneyBack Guarantee: Within 14 days of purchase, you may request a refund for goodfaith dissatisfaction. As a condition of refund, you must cease all use of Deliverables, delete any copies, and certify deletion/nonuse. We may decline refunds in cases of abuse or material breach of these Terms.
Chargebacks or payment disputes filed without first contacting support may lead to account suspension.
7) Term, Termination & Suspension
These Terms apply while you access the Service. License Terms apply per purchase cycle.
We may suspend or terminate your access (with or without notice) for breaches, suspected fraud, or material risk to the Service.
Upon termination, your right to access the Service and Templates ceases. We may terminate for reasons including but not limited to abuse of the Service, fraud, or material breach of these Terms. Your ownership of previously generated Deliverables generally remains, provided you were in compliance at the time of termination. However, termination eliminates any right to a refund, and in cases of badfaith or abusive conduct we may also revoke your continued right to use Deliverables.
8) Feedback & Improvements
You grant BSP a nonexclusive, royaltyfree license to use suggestions or feedback to improve the Service.
9) Disclaimers
THE SERVICE AND TEMPLATES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BSP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, LOSS OF PROFITS, OR LOSS OF BUSINESS DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BSP IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
11) Indemnification
You will defend and indemnify BSP against claims arising from your content, your use of the Service in violation of law or these Terms, or your infringement of thirdparty rights.
12) Governing Law; Dispute Resolution
Governing Law: [Tennessee], without regard to conflictoflaws rules.
Arbitration & Class Action Waiver (U.S.): Except for small claims or injunctive relief, disputes will be resolved by binding arbitration on an individual basis; no class actions or consolidated proceedings.
13) Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the Service (e.g., notice on the website or within your account). Your continued use after the effective date constitutes acceptance.
